1. Introduction and Acceptance

Welcome to new.salon.io ("New Salon", "Service"), operated by Salonio UG (haftungsbeschränkt) ("Salonio", "Company", "we", "us", "our"), a company registered in Berlin, Germany.

By accessing or using New Salon, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you and Salonio. Please read them carefully.

2. Eligibility

To use New Salon, you must:

Be at least 16 years old
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the Service under applicable law

If you are between 16 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Account Registration

3.1 Account Creation

To access most features of New Salon, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account at contact@salon.io.

3.3 One Account Per Person

Each person may maintain only one account. Creating multiple accounts may result in termination of all accounts.

4. Description of Service

New Salon provides:

Website Builder: A visual, drag-and-drop tool for creating and publishing websites with multiple layout options (Canvas, Mosaic, Slideshow, Justified, Column).
Social Network: Features to connect with other users, follow creators, like and comment on content, and build a community.
Marketplace: A platform to buy and sell digital assets, templates, and creative services.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

5. Subscription and Payment

5.1 Free and Paid Tiers

New Salon offers both free and paid subscription tiers. Free accounts have limited features and storage. Paid subscriptions unlock additional features as described on our pricing page.

5.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for the subscription fees.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings.

5.4 Refunds

Monthly subscriptions: No refunds for partial months. Annual subscriptions: You may request a full refund within 14 days of initial purchase or renewal. After 14 days, no refunds will be provided, but you may continue to use the Service until the end of your billing period.

5.5 Price Changes

We may change subscription prices with 30 days' notice. Price changes will take effect at the start of your next billing period.

5.6 Taxes

All prices are exclusive of applicable taxes. You are responsible for paying any taxes associated with your subscription.

6. SLN Credits

6.1 Nature of SLN Credits

New Salon operates an internal credit system using credits denominated as "SLN." SLN credits are a limited license right within the Service. They are not a currency, cryptocurrency, security, commodity, or any form of financial instrument. SLN credits have no value outside of the Service except as expressly described in this section.

6.2 Exchange Rate

SLN credits have a fixed internal value of 1000 SLN = €10.00 (1 SLN = €0.01). Salonio reserves the right to modify this rate with 30 days' prior notice. Rate changes apply to future transactions only and do not affect credits already held.

6.3 Earning Credits

You may earn SLN credits through:

Signup bonus: New users with a confirmed email receive a one-time grant of 100 SLN.
Invite rewards: You may earn credits when a user you invited fulfills certain activity milestones (e.g., publishing a site, upgrading to a paid tier). Specific reward amounts are published on our invite settings page and may change at any time.
Referral commissions: When a user you referred subscribes to a paid tier, you may earn a one-time commission calculated as a percentage of their first subscription payment, credited as SLN. Commission rates are published on our referral page and may change at any time. Commissions apply to the referred user's first site subscription only.
Other platform activities: Additional earning opportunities may be introduced and will be described within the Service.

Salonio reserves the right to modify, suspend, or discontinue any earning mechanism at any time.

6.4 Spending Credits

You may spend SLN credits for:

Sending invitations: Each invitation costs a specified number of SLN credits.
Subscription discounts: You may apply SLN credits to reduce the amount charged for subscription payments, in whole or in part.
Other platform services: Additional spending options may be introduced and will be described within the Service.

6.5 Cash-Out

Subject to the following conditions, you may request to convert SLN credits to cash:

Minimum amount: 1000 SLN (€10.00).
Frequency: One cash-out request per calendar month.
Processing: Cash-out requests are subject to manual review and will be processed within 14 business days of approval. Payment is made via PayPal or bank transfer.
Verification: Salonio may require identity verification before processing cash-out requests, particularly for amounts exceeding €100 or in aggregate.
Tax responsibility: You are solely responsible for reporting and paying any taxes owed on amounts received through cash-out. Salonio may withhold amounts or request tax information as required by applicable law.
Salonio reserves the right to reject or delay cash-out requests if it suspects fraud, policy violations, or if the credits were earned through manipulation or abuse.

6.6 Invite System

Each user receives a limited number of invite slots. Sending an invitation costs SLN credits and consumes one invite slot. Additional invite slots may be earned through successful referrals or other platform activities. Invite slot allocations and costs are published within the Service and may change at any time.

6.7 Credit Expiry

SLN credits expire after 24 months of account inactivity (no login). Before expiry, we will send a reminder to your registered email address at least 30 days in advance. Once expired, credits cannot be restored.

6.8 No Transferability

SLN credits may not be transferred, sold, or traded between users or to third parties. Any attempt to do so may result in forfeiture of credits and account termination.

6.9 No Interest or Appreciation

SLN credits do not earn interest. Salonio makes no representation that SLN credits will maintain or increase in value.

6.10 Forfeiture

Salonio may forfeit your SLN credits, in whole or in part, if you violate these Terms, our Acceptable Use Policy, or engage in fraud or manipulation of the credit system. Forfeiture of credits does not limit any other remedies available to Salonio.

6.11 Termination

Upon account termination:

Voluntary termination: You may request cash-out of eligible credits (minimum 1000 SLN) within 30 days of initiating termination. Unclaimed credits below the minimum are forfeited.
Termination by Salonio for policy violation: Credits are forfeited.
Termination by Salonio without cause: You will be given 30 days to request cash-out of eligible credits.

6.12 Modification and Discontinuation

Salonio may modify the terms of the SLN credit system -- including earning rates, spending options, exchange rates, and cash-out terms -- at any time with 30 days' prior notice. Salonio may discontinue the SLN credit system entirely with 60 days' prior notice. In the event of discontinuation, users will have the opportunity to spend or cash out eligible credits during the notice period.

7. User Content

7.1 Your Content

"User Content" means all content you create, upload, publish, or display using New Salon, including websites, images, text, designs, and other materials.

7.2 Ownership

You retain all ownership rights to your User Content. Salonio does not claim ownership of your content.

7.3 License to Salonio

By posting User Content, you grant Salonio a worldwide, non-exclusive, royalty-free, sublicensable (solely to service providers acting on our behalf) license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly display, and distribute such content for the purpose of operating, providing, improving, and promoting the Service. "Promoting" means featuring your published site or content in galleries, showcases, or marketing materials; you may opt out of promotional use at any time by contacting support@salon.io. This license continues until you delete your content or account, except for content shared with others that they have not deleted. For clarity: Salonio does not use your content to train artificial intelligence or machine learning models.

7.4 License to Other Users

Content you make publicly available may be viewed and shared by other users in accordance with your privacy settings and our platform features.

8. Content Representations and Warranties

You represent and warrant that:

You own or have the necessary rights to use and authorize the use of your User Content
Your User Content does not infringe any third party's intellectual property rights, privacy rights, or other rights
Your User Content complies with all applicable laws and our Acceptable Use Policy
Your User Content does not contain any viruses, malware, or harmful code

9. Social Network Features

9.1 Community Guidelines

When using social features (following, liking, commenting, messaging), you agree to treat other users with respect, provide constructive feedback, and refrain from harassment, spam, or abusive behavior.

9.2 Interactions

You are solely responsible for your interactions with other users. Salonio is not responsible for the conduct of any user.

9.3 Reporting

You may report inappropriate content or behavior using our reporting tools or by contacting abuse@salon.io.

10. Marketplace Terms

10.1 Marketplace Role

New Salon provides a platform for users to buy and sell digital assets. Salonio is not a party to transactions between buyers and sellers.

10.2 Seller Responsibilities

If you sell through the Marketplace, you are responsible for accurately describing your items, delivering purchased items promptly, complying with all applicable laws, and handling customer inquiries and disputes.

10.3 Commission

Salonio charges a commission on Marketplace sales as specified on our pricing page. Commissions are deducted from payouts to sellers.

10.4 Prohibited Items

You may not sell items that infringe intellectual property rights, violate our Acceptable Use Policy, or are illegal in any applicable jurisdiction.

10.5 Disputes

Buyers and sellers are encouraged to resolve disputes directly. Salonio may, at its discretion, assist in dispute resolution but is not obligated to do so.

11. Prohibited Uses

You agree not to:

Violate any applicable law or regulation
Infringe any intellectual property or other rights
Upload or transmit viruses, malware, or other harmful code
Attempt to gain unauthorized access to our systems or other users' accounts
Use the Service for spam, phishing, or fraudulent purposes
Harass, abuse, or harm other users
Impersonate any person or entity
Interfere with the proper functioning of the Service
Circumvent any security measures or usage limits
Use automated tools or bots without permission
Violate our Acceptable Use Policy

12. Intellectual Property

12.1 Salonio's Rights

The Service, including its design, features, and content (excluding User Content), is owned by Salonio and protected by copyright, trademark, and other intellectual property laws.

12.2 Trademarks

"Salon", "New Salon", "salon.io", and related logos are trademarks of Salonio UG. You may not use our trademarks without prior written permission.

12.3 Feedback

If you provide feedback or suggestions about our Service, you grant us the right to use such feedback without restriction or compensation.

13. Copyright and DMCA

We respect intellectual property rights and expect users to do the same. If you believe content on New Salon infringes your copyright, please follow the procedures in our DMCA Policy.

We will terminate the accounts of repeat infringers in appropriate circumstances.

14. Termination

14.1 Termination by You

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

14.2 Termination by Us

We may suspend or terminate your account if you violate these Terms or our policies, engage in fraudulent or illegal activity, fail to pay subscription fees, or for any other reason at our discretion with reasonable notice.

14.3 Effect of Termination

Upon termination, your User Content may be deleted within 30 days. Data required for legal compliance may be retained longer. No refunds will be provided for termination due to your violation of these Terms. For the treatment of SLN credits upon termination, see Section 6.11.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALONIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY ARISING FROM GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR WHERE LIMITATION IS PROHIBITED BY APPLICABLE LAW.

17. Indemnification

You agree to indemnify and hold harmless Salonio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.

18. Governing Law and Disputes

18.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict of law principles.

18.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.

18.3 EU Consumer Rights

If you are a consumer residing in the European Union, you may also have rights under the laws of your country of residence. Nothing in these Terms affects your rights as a consumer under mandatory consumer protection laws.

18.4 Online Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr

We are not obligated and generally not willing to participate in dispute resolution proceedings before a consumer arbitration board.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and DMCA Policy, constitute the entire agreement between you and Salonio regarding the Service.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

19.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

19.5 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
